Thank you for your interest in Philadelphia Scent Studio Products ("Philly Scent Studio). Our Scent Studio was created to provide Buyers with high-quality scented products without the accompanying high cost and high minimum order quantity ("MOQ") associated with custom products.
Old City Canning Co. ("OCC") is the exclusive manufacturer for Philly Scent Studio products.
By purchasing customized products through Philadelphia Scent Studio & OCC, Buyer acknowledges and agrees to the following terms:
GENERAL TERMS APPLICABLE TO ALL SCENT STUDIO PRODUCTS
- Buyer recognizes that Philly Scent Studio incurs significant expense in designing, testing, and producing Scent Designs (including, but not limited to, sourcing suppliers, relationships with suppliers and perfumers, methods and techniques used in scent design, and testing scent applications and use).
- Philly Scent Studio considers its Scent Designs to be confidential and proprietary.
- Buyer acknowledges that its purchase of products through Philly Scent Studio does not include any right, title, or interest to Scent Designs.
- At all times, Philly Scent Studio owns the rights, title, and interest of any Scent Design used in production of Buyer's products, regardless of Product Level (described below), unless Buyer has entered into a Scent License Agreement, whose terms shall be separately negotiated and executed.
- Philly Scent Studio reserves the right to reproduce any variation of any Scent Design for any purpose, without consent of Buyer, unless Buyer pays an exclusivity fee and/or enters into a Scent License Agreement.
PRODUCT LEVELS--Philly Scent Studio offers four levels of Scent Studio Products.
Grey Label (low cost):
- OCC produces SKUs in sizes, scents, and containers already stocked.
- MOQ is one case per SKU.
- "Made by Old City Canning Co.", or some variation thereof, must be displayed on the front label.
- Buyer will receive testers of the final product. It is Buyer's responsibility to conduct testing on each SKU for burn times and scent throw; OCC will offer estimations only.
- Buyer will receive label proofs. It is Buyer's responsibility to proofread each label for spelling errors and design parameters. Buyer will receive up to two complementary label proofs before being charged a $25 design fee per SKU.
- Once labels approved, any changes will incur a $25 design fee.
White Label (moderate cost):
- OCC produces SKUs in sizes, scents, and containers already stocked.
- MOQ of 2 cases per SKU per order.
- OCC is not required to be listed on label, however, does receive attribution when SKUs are promoted through external communication.
- Standard OCC warning label applied to container.
Black Label (higher cost):
- OCC designs and produces a custom scent in containers already stocked.
- Option A: MOQ of 5 cases per SKU if no attribution to OCC on label.
- Option B: MOQ of 2 cases per SKU if attribution to OCC on label.
- Buyer receives up to three rounds of scent samples per scent design. Additional revisions may incur a $25 design fee.
- Two finished product samples provided per SKU for testing only.
- Scent exclusivity available for an additional fee.
Private Label (cost varies):
- Buyer responsible for an initial design fee of $250 per custom Scent Design, which is non-refundable.
- Philly Scent Studio designs and produces a custom Scent Design, and OCC manufactures the finished product in a vessel chosen by Buyer. OCC is not responsible for performance of vessels purchased by Buyer; however, OCC will test Buyer's vessel for proper burning characteristics (melt pool, wick selection, scent throw).
- MOQ at least 70 pounds of liquid wax (specific quantity varies by vessel size).
- Buyer receives up to three rounds of scent samples per scent design. Additional revisions may incur a $25 design fee.
- Two finished product samples provided per SKU for testing only.
- Scent exclusivity available for an additional fee.
